These Terms form the main Toolbelt Websites customer agreement. The Data Processing Agreement forms part of these Terms where Toolbelt Websites processes personal information on a customer's behalf.

1. About these terms
Toolbelt Websites is a trading name of Rikki Webster Ltd, a company registered in England and Wales under company number 13001015, with registered office at Greenacre House, The Street, Hinderclay, Diss, England, IP22 1HX ("Toolbelt Websites", "we", "us" or "our").
These Terms apply to the use of toolbeltwebsites.co.uk and, where a business becomes a customer, to services supplied by Toolbelt Websites unless a proposal, order confirmation or other written agreement expressly says otherwise. If a specific written agreement conflicts with these Terms, the specific written agreement takes priority for that matter.
Toolbelt Websites primarily supplies services to businesses and trade professionals. Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded.
These terms apply to Toolbelt Websites managed website plans. They should be read with the rest of these Terms & Conditions and any written order, proposal or service details agreed with the customer.
2. Entering the customer agreement
A customer may accept the agreement electronically, including by completing Toolbelt Websites onboarding and ticking the agreement acceptance box, by accepting an order or proposal that refers to these Terms, or by another clear written acceptance method we make available. A person accepting on behalf of a business confirms that they are authorised to bind that business.
The version of the Terms and Data Processing Agreement accepted during Toolbelt Websites onboarding is recorded with the submitted website brief. The Data Processing Agreement is incorporated into this customer agreement and does not require separate paper signature unless the parties agree otherwise.
3. Services
Services may include website design and development, website renovation and redesign, hosting, maintenance, support, domain configuration, contact and enquiry functionality, local SEO, content implementation, landing pages and related digital services. The exact scope, deliverables, timetable and fees are those confirmed in writing for the customer's project or plan.
Timelines are estimates unless expressly agreed as fixed. Delivery can depend on receiving content, approvals, access credentials and other information from the customer on time.
4. Your responsibilities
You are responsible for providing accurate information, timely feedback and any access reasonably needed to perform the services. You must have the right to use any text, photographs, logos, trademarks or other material you provide to us.
You are responsible for the accuracy and legality of your own business claims, prices, service descriptions, regulated information and customer-facing content, and for deciding the lawful basis, transparency information and retention rules that apply to personal information you collect through your website.
5. Fees and payment
Fees are as shown on the website or, where applicable, in your proposal or order confirmation. One-off project fees are billed according to the payment schedule agreed with you. Recurring services are billed on the cycle agreed with you. For managed website plans, the initial term, billing, cancellation and renewal rules in these Terms apply.
Initial term and billing
All Toolbelt Websites managed website plans have an initial minimum term of 12 months, whether the customer pays monthly or annually. Paying monthly does not remove the 12-month minimum commitment.
Annual customers pay 12 months upfront and receive 12 months for the price of 10. Unless cancelled with at least 30 days' written notice before renewal, an annual subscription renews for a further 12-month annual term. Annual payments are generally non-refundable once the annual term has begun, subject to applicable statutory rights and any discretion Toolbelt Websites chooses to exercise in genuinely exceptional circumstances.
Where an annual customer gives cancellation notice during a current annual term, the normal effect is to prevent renewal at the end of that term, provided the required notice has been given. The website and managed service continue until the end of the period already paid for unless the customer specifically asks Toolbelt Websites to end the service earlier. If the service is ended earlier at the customer's request, no pro-rata refund is normally due for the unused part of the annual term, subject to applicable statutory rights and any discretion Toolbelt Websites chooses to exercise in genuinely exceptional circumstances.
Failed payments and non-payment
Where a recurring payment fails, payment retries or reminders may be attempted and Toolbelt Websites may contact the customer about the overdue amount. The website and managed service will normally remain available for approximately 30 days while the matter is being resolved. If payment remains unresolved after approximately 30 days, Toolbelt Websites may suspend the service or display a holding or suspension page and may ultimately terminate the service. Outstanding amounts remain payable where applicable.
If the matter remains unresolved following suspension or termination, website or account data may eventually be deleted after the applicable retention period.
Toolbelt Websites may retain a backup for up to 90 days following termination or suspension. Backup retention does not constitute a guaranteed backup or restoration service, and recovery cannot be guaranteed.
Price changes
Existing customers will ordinarily retain the price they originally agreed to. Toolbelt Websites reserves the right to change an existing customer's price where genuinely necessary, including where underlying service costs materially increase. Any such change will be communicated in advance with as much reasonable notice as possible and will be handled in accordance with these Terms and applicable law.
6. Content and intellectual property
You retain ownership of material that you supply to us. Third-party assets remain subject to their own licences.
Customer material and Toolbelt Websites intellectual property
The customer retains ownership of their domain, logo, photographs, assets and content they supplied, together with written content created specifically for their website by Toolbelt Websites and customer-facing visual or creative design created for them, subject to the proprietary technology boundaries below.
Toolbelt Websites retains ownership of its proprietary software, reusable technology and other pre-existing intellectual property. Nothing in these Terms transfers ownership of that proprietary technology to the customer.
7. Domains and third-party services
Websites and Toolbelt Websites services can depend on third parties such as domain registrars, hosting and infrastructure providers, transactional email providers, analytics services, payment providers, fonts and APIs. Those services may have their own terms, privacy information, fees and availability.
We are not responsible for outages, policy changes, price changes or failures caused solely by third-party services outside our reasonable control, although we will provide reasonable assistance where that forms part of your plan.
Domain transfer on cancellation
The customer owns their domain. Where Toolbelt Websites originally purchased or manages the domain and the customer cancels the Toolbelt Websites service, Toolbelt Websites can transfer the domain to the customer or their chosen registrar. A £50 + VAT cancellation domain-transfer administration fee applies in that situation. This cancellation administration fee does not apply where an active Toolbelt Websites customer simply moves their domain to their own registrar while continuing the Toolbelt Websites service.
8. Hosting, maintenance and support
Where hosting or maintenance is included, we will use reasonable care to keep the website and relevant Toolbelt Websites-managed services available, secure and maintained. No hosting, internet or email service can guarantee uninterrupted or error-free availability.
Support covers the level of assistance included in your plan or agreement. Significant new features, redesigns, integrations or work outside the agreed scope may be quoted separately.
9. Data protection and processing
Each party must comply with the data protection law that applies to its own activities. For personal information that Toolbelt Websites collects for its own business purposes, Toolbelt Websites acts as a data controller as explained in our Privacy PolicyData Processing Agreement.
Where Toolbelt Websites processes personal information on behalf of a customer in providing customer website hosting or operation, website contact forms, enquiry transmission, technical support, security or related services, the customer is the Data Controller and Toolbelt Websites acts as Data Processor. The Toolbelt Websites Data Processing Agreement applies to that processing and forms part of these Terms.
By accepting these Terms, the customer gives the general written authorisation for the subprocessors identified in the Data Processing Agreement, subject to the notice and objection provisions set out there.
10. SEO and marketing
SEO, local SEO and digital marketing can improve the foundations and visibility of a website, but search engines and advertising platforms are controlled by third parties. We do not guarantee rankings, traffic levels, leads, sales or a particular position in Google or any other platform.
You remain responsible for the accuracy and legality of offers, promotions, claims and business information used in marketing.
11. Ending services
The standard cancellation, renewal and exit rules below apply to Toolbelt Websites managed website plans. On termination, outstanding fees for work already performed, committed costs and other amounts properly due remain payable where applicable.
We may end or suspend services where there is serious misuse, unlawful activity, repeated non-payment or a material breach that is not remedied after reasonable notice, where notice is appropriate. Data processing on termination is dealt with in the Data Processing Agreement where it applies.
Cancellation after the initial term
After the initial 12-month term, monthly subscriptions continue on a rolling monthly basis until cancelled. Cancellation requires 30 days' written notice sent to support@toolbeltwebsites.co.uk. The managed service continues during the notice period and ends at the end of that notice period.
Annual subscriptions do not move onto rolling monthly billing after the initial term. Unless cancelled with at least 30 days' written notice before renewal, an annual subscription renews for a further 12-month annual term. A valid cancellation notice prevents renewal at the end of the current annual term; it does not normally end the website or managed service immediately. The website and managed service normally continue until the end of the current paid annual term unless the customer specifically asks Toolbelt Websites to end the service earlier. Cancellation notice should be sent to support@toolbeltwebsites.co.uk.
Early termination
If a customer paying monthly terminates a website plan during the initial 12-month minimum term, an early termination charge equal to 80% of the remaining monthly subscription charges for that initial minimum term is payable. Toolbelt Websites may exercise discretion in exceptional individual circumstances.
The 80% early termination charge does not apply in addition to an annual payment. An annual customer has already paid the relevant annual term upfront and has therefore satisfied the payment commitment for that annual term. The customer is governed by the annual payment, renewal and refund provisions in these Terms. If an annual customer asks for the website or managed service to end before the paid annual term expires, Toolbelt Websites may end the service earlier, but no pro-rata refund is normally due for the unused part of the annual term, subject to applicable statutory rights and any discretion Toolbelt Websites chooses to exercise in genuinely exceptional circumstances.
Leaving the managed service and continued website licence
If the managed service ends, the customer retains their customer-owned material and is responsible for arranging suitable hosting if the website is to continue elsewhere.
If a customer leaves without taking a Continued Website Licence, Toolbelt Websites may, where practical, make a static public-facing version of the website available. Toolbelt Websites proprietary software, reusable technology and other pre-existing intellectual property is removed and/or not supplied. Managed or interactive functionality may cease. Another developer may independently rebuild the website, but Toolbelt Websites proprietary technology is not supplied as part of a complete exit.
If a customer leaves the managed service but wants to continue using a website that relies on certain Toolbelt Websites proprietary technology, continued use may require a separate Continued Website Licence at £199 + VAT per year. The licence is annual, applies to the licensed website/domain only, must remain paid while the relevant technology continues to be used, and may not be resold, duplicated, sublicensed, distributed or reused on another or unrelated website. If the licensed website changes domain, the customer must contact Toolbelt Websites in writing.
The Continued Website Licence does not include Toolbelt Websites hosting, support, website update allowance, software or service updates supplied as part of the managed service, routine maintenance, security management, managed enquiry or form delivery, SEO work, analytics management, reporting or other managed services. Toolbelt Websites does not guarantee that every feature previously supplied as part of the managed service will continue to function outside that service.
12. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
To the extent permitted by law, we are not responsible for indirect or consequential loss, loss of profits, loss of business opportunity or loss caused by information, instructions or materials supplied by you or by events outside our reasonable control. Any project-specific liability cap or insurance-backed commitment will be stated in the applicable written agreement.
13. Use of this website
You may use this website for lawful purposes and to learn about or enquire about our services. You must not attempt to damage, interfere with, gain unauthorised access to, scrape abusively, reverse engineer maliciously or use the website in a way that breaches applicable law.
Website content is provided for general information and may be updated without notice. Examples, case studies and marketing guidance are not legal, financial or professional advice for your specific circumstances.
14. Changes to these Terms
We may update these Terms or the Data Processing Agreement to reflect changes in law, services, technology or suppliers. The latest public version will show its revision date. Where a material change affects an active customer agreement or the processing of Customer Personal Data, we will provide appropriate written notice and, where required, seek the customer's acceptance before the change applies to that customer.
15. Governing law
These Terms, the Data Processing Agreement and any non-contractual obligations arising from them are governed by the laws of England and Wales. Subject to any mandatory rights that apply, the courts of England and Wales have exclusive jurisdiction.
