Partner Programme Terms.

The rules that apply when you join, promote and earn rewards through the Toolbelt Websites Partner Programme.

Partner agreement

These Partner Programme Terms govern participation in the Toolbelt Websites Partner Programme. They are separate from the customer Terms & Conditions that apply when a business buys Toolbelt Websites services.

1. About the programme

Toolbelt Websites is a trading name of Rikki Webster Ltd, a company registered in England and Wales under company number 13001015, with registered office at Greenacre House, The Street, Hinderclay, Diss, England, IP22 1HX ("Toolbelt Websites", "we", "us" or "our").

The Partner Programme allows approved Partners to introduce eligible new UK trade businesses to Toolbelt Websites. A Partner can earn a one off £50 reward when a valid referral becomes a qualifying customer under these Terms. There is no recurring commission and no minimum payout threshold.

Participation is subject to approval. We may accept or decline an application at our discretion and we are not required to give a reason where it would be inappropriate or impractical to do so.

2. Joining and account status

Applicants must provide accurate contact information and truthful information about how they intend to promote Toolbelt Websites. Before a Partner becomes active, they must complete the secure onboarding process, accept the current version of these Terms and provide the UK bank details required for future reward payments.

Partner accounts may be shown as invited, active, suspended or disabled. An active referral link may only be used while the Partner account remains active.

You are responsible for keeping your contact and payout information accurate. If payout details change, we may place future payments on hold while the change is reviewed.

3. Referrals and attribution

Each active Partner receives a unique referral code or link. The normal referral attribution window is 60 days.

A referral must relate to a genuine new prospective customer. Existing Toolbelt Websites customers and businesses already in our active CRM or sales pipeline are not eligible for a new Partner reward. Self referrals are not eligible.

If more than one Partner refers the same prospective customer, the first valid referral that meets the programme rules will normally retain attribution. Once a valid referral is attached to an identifiable prospect in our CRM, that server side referral record becomes the source of truth and is not displaced merely because the prospect later returns through another channel.

Persistent browser referral tracking is used only where the visitor has given the relevant tracking or marketing consent. Where consent has not been given, we do not use hidden persistence, device fingerprinting or local storage as a workaround. A referral may still be recognised during the same visit, or through a valid referral code or manual attribution where appropriate.

Attribution can fail where the referral information is missing, invalid, expired, cannot reasonably be connected to the eventual prospect, or is excluded by the existing pipeline, self referral, duplicate or abuse rules.

4. Promotion rules

Partners must promote Toolbelt Websites lawfully, accurately and in a way that does not mislead people about Toolbelt Websites, its services, prices, availability or likely results.

You must not impersonate Toolbelt Websites, claim to be an employee or authorised sales representative, create misleading websites or social profiles, use deceptive redirects, cookie stuffing, forced clicks, fake enquiries or other artificial methods to obtain attribution.

You must not bid on Toolbelt Websites branded paid search terms, including obvious misspellings or close variants, or otherwise compete with Toolbelt Websites for its own brand traffic through paid search.

If you use email, text, direct messaging, social media, telephone outreach or other direct marketing, you are responsible for ensuring that your activity is lawful and that you have any consent or other permission required for the audience and communication method you use. The Partner Programme does not give you permission to spam, scrape contact lists unlawfully or ignore privacy and electronic marketing rules.

Where your recommendation or content is advertising or otherwise has a commercial incentive that is not obvious from the context, you must make that commercial relationship clear in a prominent and understandable way and comply with applicable advertising rules.

5. Qualifying rewards

The current Partner reward is £50 for each eligible referral that becomes a qualifying customer. A referral does not qualify merely because a prospect submits an enquiry, requests a preview, receives a proposal or makes a first payment.

The first successful customer payment is recorded but does not qualify the reward. The second successful payment starts a separate 60 day validation period. During that validation period we check that the referral and customer remain valid and that there has not been a cancellation, refund, chargeback, relevant payment failure, duplicate attribution, self referral, abuse or other issue that makes the reward ineligible.

After the validation period completes successfully, the reward becomes approved. A reward may be held for manual review where the available information is incomplete, inconsistent or reasonably indicates possible misuse.

We will not retrospectively reduce or remove an already approved reward merely because we later change the standard reward amount for future referrals. This does not prevent us from correcting a genuine error or reversing a reward obtained through fraud, duplicate attribution or other material breach of these Terms.

6. Payouts

Approved rewards are normally scheduled into the next monthly payout run. Our standard payout date is the last working day of the month, subject to UK bank holidays and reasonable operational adjustments.

Payments are made by UK bank transfer using the payout details held securely on the Partner account. Bank processing times are outside our control. A Partner must provide valid payout details belonging to the person or business that is entitled to receive the reward.

There is no minimum payout threshold. If there are no approved rewards due in a payout run, no payment is made.

We may pause a payout where bank details are missing or have recently changed, where a reward is under review, or where we reasonably need to verify the recipient before sending money.

7. Records, reviews and abuse prevention

Toolbelt Websites keeps referral, reward, payout and audit records to operate the programme, resolve attribution questions, prevent misuse and maintain accurate financial records.

We may review referrals where there are signs of duplication, suspicious repeated signups, mismatched identities, self referral, an existing customer or pipeline match, unusual attribution activity or other circumstances that reasonably require checking.

Programme statistics shown in the Partner portal are operational records and may be corrected if a processing error, duplicate or invalid referral is identified.

8. Suspension and ending participation

We may suspend or disable a Partner account where these Terms are breached, promotional activity is misleading or unlawful, referral activity appears abusive, payout information cannot reasonably be verified, or continued participation creates a material legal, security or reputational risk.

A Partner may stop participating at any time by contacting us. Ending participation stops future referral activity through the account. Valid rewards that were already approved before the account ended will normally remain payable unless they are affected by fraud, duplicate attribution, error or another material breach.

Suspension or termination does not create an entitlement to compensation for future referrals, expected earnings or lost opportunity.

9. Relationship and taxes

The Partner Programme does not create employment, a worker relationship, franchise, agency, joint venture or authority to enter contracts on behalf of Toolbelt Websites. Partners act independently and cannot make commitments or warranties on our behalf.

Partners are responsible for their own tax, accounting and reporting obligations arising from rewards they receive. Toolbelt Websites does not provide tax advice.

10. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

We do not guarantee that a referral will become a customer, that a particular level of Partner earnings will be achieved, or that the programme will operate without interruption. To the extent permitted by law, we are not responsible for indirect or consequential loss, loss of expected commission, loss of profit or business opportunity arising from participation in the programme.

11. Privacy

Our use of personal information in connection with the Partner Programme is explained in the Partner Privacy Notice. Website referral tracking and cookies are also explained in our Privacy Policy and Cookie Policy.

Partners must handle any personal information they use for their own promotional activity lawfully and are responsible for their own privacy obligations.

12. Changes to the programme or these Terms

We may update the programme or these Terms where reasonably necessary, including to reflect changes in law, technology, fraud controls, programme operations or the commercial offer. The current version will be published with its revision date.

Where a material change affects active Partners, we will provide appropriate notice. Changes will normally apply prospectively and will not be used to quietly rewrite the status of rewards that have already been validly approved.

13. Governing law

These Terms and any non contractual obligations arising from them are governed by the laws of England and Wales. Subject to any mandatory rights that apply, the courts of England and Wales have exclusive jurisdiction.
